During Tuesday’s meeting of the Board of Visitors’ Health System Board Finance Working Group, members passed a policy to allow remote participation in meetings for members of the subcommittee.
The HSB is responsible for overseeing strategic financial, investment, market considerations, growth initiatives and partnerships for U.Va. Health. It also monitors market expansion opportunities and strategic initiatives for the University Medical Center in order to strengthen the financial position and competitive edge of U.Va. Health, according to the meeting agenda.
Board Secretary Scott Ballenger introduced the policy. He said that because the Board’s policy on remote participation applies to the Board and its committees, the HSB Finance Working Group should adopt its own policy because it acts more as a subcommittee to the HSB than a committee of the Board.
The policy states that a member of HSB may participate remotely in meetings not open to the public, provided the member notifies the rector that they are unable to attend in-person due to an emergency, personal matters or a disability.
It also states that the member must be heard by all other members, and that a quorum of members must be present at the meeting location for the member to be able to participate remotely.
“The reason we have to do that is that the Board’s policy on remote participation applies to the Board and all of its committees,” Ballenger said. “And we're not exactly treating this body as a committee of the Board, but rather a committee of the HSB, so for safety's sake it would be good if we readopt the policy.”
The HSB Finance Working Group then met in closed session following the passing of the policy Tuesday to discuss financial and investment considerations for U.Va. Health.
The next meeting of the full Board will take place Sept. 16 through Sept. 18, and meeting agendas will be posted on the Board’s website.
